Official Rules

1. Sponsor

The Shiftly Monthly Local Giveaway, referred to in these Official Rules as the “Giveaway,” is sponsored and administered by:

Shiftly Technologies LLC is referred to in these Official Rules as the “Sponsor.”

The Sponsor is solely responsible for the administration and operation of the Giveaway.

2. Eligibility

The Giveaway is open only to individuals who, at the time of entry:

• Are legal residents of the State of Texas;
• Are at least eighteen years of age;
• Possess a valid email address;
• Are physically located within the State of Texas when submitting an entry; and
• Otherwise comply with these Official Rules.

The Giveaway is void outside Texas and wherever prohibited or restricted by law.

Employees, officers, directors, owners, representatives, contractors, and agents of the Sponsor, participating prize providers, advertising or promotion agencies, and any other individual or company involved in the development, administration, promotion, selection, or fulfillment of the Giveaway are not eligible to enter.

Immediate family members and household members of an ineligible individual are also not eligible. “Immediate family members” include spouses, parents, legal guardians, children, siblings, and their respective spouses. “Household members” include individuals who share the same residence for at least three months during the calendar year, whether related or not.

3. Monthly Giveaway Period

The Giveaway is intended to operate as a recurring monthly promotion. Each monthly promotion is a separate sweepstakes and is referred to as a “Monthly Giveaway.”

Unless different dates are clearly disclosed on the official Shiftly Giveaway entry page, each Monthly Giveaway begins at 12:00:00 a.m. Central Time on the first calendar day of the applicable month and ends at 12:00:00 p.m. Central Time on the last Thursday of that month.

The period between the beginning and end of each Monthly Giveaway is referred to as the “Giveaway Period.”

The Sponsor’s computer systems and records are the official timekeeping devices for the Giveaway.

Entries received after the applicable Giveaway Period will not be included in that month’s drawing. The Sponsor may, at its discretion, include a late entry in the following Monthly Giveaway if the promotion continues and the entry otherwise complies with these Official Rules.

4. How to Enter

During the applicable Giveaway Period, an eligible person may enter by:

• Visiting the official Shiftly Giveaway page at MyShiftly.com/giveaway;
• Completing the required entry form with accurate and complete information;
• Confirming eligibility and agreement to these Official Rules; and
• Submitting the completed entry form before the end of the applicable Giveaway Period.

There is no fee to enter.

Unless otherwise stated on the entry page, required entry information may include the entrant’s:

• First and last name;
• Valid email address;
• City or ZIP Code;
• Confirmation that the entrant is at least eighteen years old and a Texas resident; and
• Agreement to these Official Rules.

An entrant is not required to:

• Purchase any product or service;
• Download the Shiftly mobile application;
• Create a Shiftly account;
• Visit a venue;
• Follow Shiftly or another account on social media;
• Like, comment on, tag someone in, or share a social-media post;
• Attend a sales presentation;
• Subscribe to marketing emails or text messages; or
• Provide payment information.

Taking any of those actions will not increase an entrant’s odds of winning.

5. Entry Limit

Limit one entry per person and one entry per email address per Monthly Giveaway, unless the official entry page expressly provides a different limit.

Multiple entrants may not share the same email address. An entrant may not use multiple identities, email addresses, accounts, devices, automated systems, bots, scripts, macros, artificial-intelligence agents, or other methods to obtain more than the permitted number of entries.

Any attempt to obtain additional entries through fraudulent, deceptive, automated, or manipulated methods may result in disqualification of all entries associated with the entrant.

In the event of a dispute concerning the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the email address used to enter. The potential winner may be required to provide proof that the person is the authorized account holder.

6. Marketing Communications

Consent to receive promotional or marketing communications from Shiftly is optional and is not required to enter or win.

Any marketing-consent checkbox must be presented separately from the entrant’s agreement to these Official Rules and must not be preselected where prohibited by applicable law.

Entrants who elect to receive marketing emails may unsubscribe at any time by using the unsubscribe link included in a marketing email. Unsubscribing will not invalidate a properly submitted Giveaway entry.

The Sponsor may send administrative communications reasonably necessary to operate the Giveaway, including entry confirmations, eligibility questions, potential-winner notices, prize-fulfillment communications, and notices concerning changes to the Giveaway.

7. Prize

Unless a different prize is expressly identified on the official Giveaway entry page for a particular month, one winner will receive:

One local venue gift card with an approximate retail value of $100.00.

The participating local venue associated with the prize may be identified before or after the winner is selected. The Sponsor may select the venue or may allow the winner to select from a limited list of participating venues.

The prize is subject to the terms, conditions, limitations, expiration dates, and policies imposed by the applicable gift-card issuer or participating venue.

The prize may not be transferred, assigned, sold, substituted, or redeemed for cash, except at the Sponsor’s sole discretion or where required by law.

If the advertised prize becomes unavailable, the Sponsor may substitute a prize of equal or greater approximate retail value.

The Sponsor is not responsible if a participating venue closes, changes ownership, modifies its hours, refuses service for a lawful reason, or imposes restrictions applicable to the gift card after the prize has been issued.

The Sponsor will not require the winner to pay a fee, processing charge, shipping charge, or other payment to receive the prize.

8. Odds of Winning

The odds of winning depend on the total number of eligible entries received during the applicable Giveaway Period.

Each eligible entry has an equal chance of being selected.

9. Random Drawing

On or around 3:00 p.m. Central Time on the last Thursday of the applicable month, or on another date disclosed on the official entry page, the Sponsor will randomly select one potential winner from all eligible entries received during the Giveaway Period.

The drawing may be conducted electronically, manually, or through a third-party random-selection service.

The Sponsor’s decisions concerning entry eligibility, drawing procedures, winner selection, and Giveaway administration are final and binding, subject to applicable law.

Being selected does not make a person the official winner unless and until the person’s eligibility has been verified and all prize-acceptance requirements have been completed.

10. Winner Notification and Verification

The potential winner will be contacted using the email address or other contact information provided with the entry.

The potential winner must respond within five calendar days after the Sponsor first sends the winner notification, unless the notification specifies a different response deadline.

The potential winner may be required to provide:

• Proof of identity;
• Proof of age;
• Proof of Texas residency;
• Confirmation that the entry information is accurate;
• An affidavit or declaration of eligibility;
• A liability release;
• A publicity release, where lawful; and
• Any tax documentation reasonably required by law.

The potential winner may be disqualified and may forfeit the prize if:

• The winner notification is returned as undeliverable;
• The potential winner does not respond by the stated deadline;
• The potential winner cannot be contacted after reasonable attempts;
• The potential winner does not satisfy the eligibility requirements;
• The potential winner provided false, incomplete, or misleading information;
• The potential winner does not complete required verification documents;
• The potential winner declines the prize; or
• The potential winner otherwise violates these Official Rules.

If the potential winner is disqualified or forfeits the prize, the Sponsor may select an alternate potential winner by random drawing from the remaining eligible entries.

The Sponsor is not required to select more than three alternate potential winners. If the prize remains unclaimed after reasonable efforts, the Sponsor may determine that the prize will not be awarded.

11. Prize Delivery

The Sponsor will provide the prize to the verified winner electronically, by mail, in person, or through another reasonable delivery method determined by the Sponsor.

The winner may be required to provide a valid mailing address or other information reasonably necessary for prize delivery.

The Sponsor is not responsible for a prize that is lost, stolen, misdirected, damaged, deleted, intercepted, or used without authorization after it has been properly delivered to the winner.

12. Taxes and Expenses

The winner is solely responsible for all federal, state, and local taxes, if any, associated with accepting or using the prize.

The winner is also responsible for all expenses not expressly included in the prize description, including transportation, parking, food or beverages exceeding the gift-card value, gratuities, and other personal expenses.

The Sponsor will not require the winner to submit an upfront payment to receive the prize. Any legitimate tax reporting obligation will be handled in accordance with applicable law.

13. Publicity

Except where prohibited by law, acceptance of the prize constitutes the winner’s permission for the Sponsor and its authorized representatives to use the winner’s first name, last initial, city, photograph voluntarily provided by the winner, statements concerning the Giveaway, and prize information for legitimate advertising, promotional, publicity, and administrative purposes without additional compensation or notice.

The winner is not required to provide a testimonial or make a false or misleading endorsement.

Any testimonial or endorsement used by the Sponsor must reflect the winner’s honest opinions and actual experience.

14. Privacy

Personal information collected in connection with the Giveaway will be used to administer the Giveaway, verify eligibility, communicate with entrants and potential winners, deliver the prize, prevent fraud, maintain legally required records, and perform other activities described in these Official Rules.

Personal information will otherwise be handled in accordance with the Shiftly Privacy Policy available through MyShiftly.com.

Marketing communications will be sent only when the entrant has provided the applicable consent or when otherwise permitted by law.

The Sponsor may share entrant information with service providers that assist with hosting, form processing, email delivery, fraud prevention, random drawing, legal compliance, and prize fulfillment. Such providers may use the information only for the services they provide to the Sponsor, subject to their agreements and applicable law.

The Sponsor does not sell Giveaway entrants’ personal information to participating venues merely because they entered the Giveaway.

15. General Conditions

The Sponsor may disqualify any entrant who, in the Sponsor’s reasonable judgment:

• Violates these Official Rules;
• Interferes with the entry process or operation of the Giveaway;
• Attempts to obtain an unfair advantage;
• Submits false, deceptive, incomplete, or fraudulent information;
• Uses automated entry methods;
• Harasses or threatens the Sponsor, another entrant, a participating venue, or a service provider;
• Engages in conduct that may damage the reputation or legitimate business interests of the Sponsor or a participating venue; or
• Acts in an unlawful, abusive, disruptive, or unsportsmanlike manner.

Any deliberate attempt to damage a website, application, entry form, database, or other Giveaway system or to undermine the legitimate operation of the Giveaway may violate civil or criminal law. The Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

Failure by the Sponsor to enforce any provision of these Official Rules does not constitute a waiver of that provision.

16. Technical Problems

The Sponsor is not responsible for entries or communications that are lost, late, incomplete, inaccurate, stolen, misdirected, delayed, corrupted, deleted, undeliverable, or not received because of:

• Internet or network interruptions;
• Website or application errors;
• Email filtering or spam systems;
• Device or browser incompatibility;
• Telecommunications failures;
• Server or hosting problems;
• Incorrect contact information;
• Unauthorized human intervention;
• Cyberattacks or malicious software; or
• Other technical or administrative circumstances beyond the Sponsor’s reasonable control.

Proof that an entrant completed or transmitted an entry form does not constitute proof that the Sponsor received an eligible entry.

17. Modification, Suspension, or Cancellation

The Sponsor may modify, suspend, extend, or cancel a Monthly Giveaway if fraud, technical failure, unauthorized intervention, legal restrictions, natural disaster, public-health emergency, platform disruption, venue unavailability, or another circumstance beyond the Sponsor’s reasonable control materially affects the integrity, fairness, administration, security, or proper operation of the Giveaway.

If a Monthly Giveaway is modified, suspended, or terminated after entries have been received, the Sponsor may select a winner from the eligible, non-suspect entries received before the action was taken, when fair and legally permissible.

The Sponsor may discontinue future Monthly Giveaways at any time. Discontinuing future promotions will not affect a properly awarded prize from a completed Monthly Giveaway.

18. Release and Limitation of Liability

To the fullest extent permitted by law, each entrant agrees to release, defend, indemnify, and hold harmless the Sponsor, participating venues, prize providers, advertising and promotion agencies, service providers, Meta Platforms, Inc., Facebook, Instagram, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, members, managers, employees, representatives, contractors, and agents from claims, liabilities, damages, losses, injuries, costs, and expenses arising out of or relating to:

• Participation in the Giveaway;
• Acceptance, possession, use, misuse, loss, or redemption of the prize;
• Technical or administrative errors;
• Unauthorized intervention in the Giveaway;
• Incorrect or inaccurate information;
• Travel to or attendance at a participating venue;
• The acts or omissions of a participating venue or gift-card issuer; or
• Use of the winner’s information or publicity materials as permitted by these Official Rules.

This release does not apply to liability that cannot legally be waived or limited under applicable law.

19. Limitation of Remedies

To the fullest extent permitted by law, an entrant’s remedy for any claim arising from the Giveaway will be limited to the entrant’s actual out-of-pocket costs directly associated with entering the Giveaway.

Entrants waive any right to recover punitive, exemplary, incidental, consequential, indirect, special, or multiplied damages, as well as attorneys’ fees, except where such waiver is prohibited by law.

Under no circumstances will an entrant be entitled to obtain an injunction or other equitable relief that interferes with the development, operation, advertising, or administration of the Giveaway or the Sponsor’s business.

20. Disputes, Governing Law, and Venue

These Official Rules and the Giveaway are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Before filing a legal claim, the entrant and Sponsor agree to make a good-faith effort to resolve the dispute informally. A written description of the dispute must be sent to the Sponsor at the address or email listed in Section 1.

Unless prohibited by applicable law, any legal action arising from or relating to the Giveaway must be brought individually, and not as part of a class, collective, consolidated, representative, or private-attorney-general action.

Any court proceeding must be brought in a state or federal court having jurisdiction in Collin County, Texas, and each entrant consents to the jurisdiction and venue of those courts.

21. Facebook, Instagram, and Meta Disclaimer

The Giveaway may be advertised or promoted through Facebook, Instagram, or other services operated by Meta Platforms, Inc.

This Giveaway is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, Meta Platforms, Inc., or any other social-media platform on which it is advertised.

Each entrant completely releases Facebook, Instagram, and Meta Platforms, Inc. from any responsibility or liability arising from or relating to the Giveaway.

Entrants understand that they are providing their information to the Sponsor and not to Facebook, Instagram, or Meta Platforms, Inc.

Facebook or Instagram likes, follows, comments, shares, tags, check-ins, reviews, or other social-media interactions are not required to enter and will not increase the odds of winning.

22. No Affiliation With Participating Venue

Unless expressly stated otherwise, the participating venue, restaurant, bar, entertainment establishment, artist, gift-card issuer, or other local business associated with the prize is a prize provider or redemption location only.

Such business does not sponsor, administer, endorse, or operate the Giveaway merely because its gift card or services are included as a prize.

All trademarks, business names, logos, and brand names are the property of their respective owners.

23. Winner Identification

Where legally permitted, the Sponsor may announce the verified winner’s first name, last initial, and city on the Shiftly website, Shiftly mobile application, Shiftly social-media accounts, or through an email communication.

A person may request the name of the winner for a particular Monthly Giveaway by sending a written request to the Sponsor using the contact information in Section 1 within sixty days after the applicable drawing date.

The Sponsor may require the requester to provide a self-addressed stamped envelope where permitted by law.

24. Severability

If any provision of these Official Rules is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary.

The remaining provisions will remain in full force and effect.

25. Entire Agreement

These Official Rules, together with any specific prize description, dates, eligibility disclosures, and entry instructions displayed on the official Shiftly Giveaway page, constitute the complete rules governing the Giveaway.

If information in an advertisement, social-media post, email, or promotional material conflicts with these Official Rules, these Official Rules will control, except that the specific Giveaway Period and prize identified on the official entry page will control for that particular Monthly Giveaway.

26. Effective Date

These Official Rules are effective as of July 1, 2026 and apply to Monthly Giveaways beginning on or after that date.
